Merchandise Policy

This Merchandise Policy governs the creation, branding, production, distribution, marketing, sale, and use of all merchandise owned, operated, licensed, or controlled by ZYNK Events (“Company”, “We”, “Us”, “Our”). This policy applies globally and is legally enforceable under Indian law and internationally accepted legal principles.

By purchasing, accessing, using, or interacting with any merchandise offered by ZYNK Events, you (“Customer”, “User”, “Buyer”) expressly agree to be bound by this Merchandise Policy.

1. Scope of Merchandise Policy

ZYNK Events creates, owns, controls, and distributes merchandise including but not limited to:

  • Apparel (T-shirts, hoodies, caps, jackets)
  • Accessories (bags, badges, posters, collectibles)
  • Digital merchandise (digital art, downloadable assets)
  • Limited-edition and event-exclusive merchandise

All merchandise is non-customized and non-made-to-order, unless explicitly stated otherwise.

ZYNK Events reserves the absolute right to introduce, modify, discontinue, or restrict any merchandise category at its sole discretion.

2. Manufacturing & Supply Chain Disclaimer

Merchandise may be:

  • Manufactured in-house
  • Produced via third-party manufacturers
  • Sourced through white-label suppliers
  • Distributed via drop-shipping models

Manufacturing and sourcing may occur within India and internationally.

2.1 Third-Party Liability Disclaimer

ZYNK Events shall not be held liable for:

  • Manufacturing defects caused by third parties
  • Delays in production, shipping, or customs clearance
  • Regulatory non-compliance by manufacturers or logistics partners
  • Quality variations arising from external vendors

All liability arising from third-party manufacturing failures is expressly disclaimed to the maximum extent permitted by law.

3. Intellectual Property & Ownership

All merchandise designs, artwork, branding elements, logos, slogans, visual assets, and digital content are 100% owned by ZYNK Events unless explicitly stated otherwise.

3.1 IP Assignment & Moral Rights Waiver

Any contributor, freelancer, designer, or agency involved in creating merchandise automatically:

  • Assigns all intellectual property rights to ZYNK Events
  • Waives all moral rights under the Indian Copyright Act, 1957
  • Retains no ownership, resale, or reproduction rights

No implied licenses are granted.

3.2 Artist Likeness & Personality Rights

Some merchandise may feature artist likenesses, names, or representations. Such usage is:

  • Fully licensed or contractually authorized
  • Limited strictly to ZYNK Events merchandise

Customers receive no rights to exploit such likenesses beyond personal use.

4. Sales Channels & Distribution

Merchandise may be sold via:

  • Official website (zynkevents.com)
  • Mobile applications
  • Physical on-ground events
  • Third-party marketplaces (Amazon, Flipkart, Shopify, etc.)
  • International shipping platforms

Where legally permitted, this Merchandise Policy overrides marketplace terms.

5. Pricing, Payments & Taxes

  • Prices may be displayed in INR and international currencies
  • Prices may be inclusive or exclusive of GST and applicable taxes
  • Taxes, duties, and customs charges (especially for international orders) are borne by the customer unless stated otherwise

5.1 Payment Disclaimer

ZYNK Events is not liable for:

  • Payment gateway failures
  • Unauthorized transactions
  • Chargebacks
  • Fraudulent payments
  • Bank or wallet errors

Orders may be cancelled without notice in case of suspected fraud.

6. Refunds, Returns & Exchanges

ZYNK Events maintains a strict and limited returns policy.

6.1 Eligibility

  • No refunds, except in cases of verified manufacturing defects
  • Returns may be accepted within a limited period, solely at the Company’s discretion
  • Event-exclusive or limited-edition merchandise may be non-returnable

6.2 Conditions

  • Customer bears all return shipping costs
  • Merchandise must be unused, unwashed, and in original packaging
  • Proof of purchase is mandatory

ZYNK Events retains sole discretion to approve or reject any return or refund request.

7. Prohibited Use & Consumer Conduct

Customers are strictly prohibited from:

  • Reselling or scalping merchandise
  • Using merchandise for commercial purposes without license
  • Reproducing, copying, or counterfeiting merchandise
  • Modifying designs or branding elements

7.1 Enforcement Rights

ZYNK Events may, without notice:

  • Cancel orders
  • Blacklist users
  • Restrict future purchases
  • Initiate civil or criminal legal action

8. Liability Limitations & Risk Allocation

To the maximum extent permitted by law:

  • Merchandise is provided “as-is” and “as-available”
  • No warranties of fitness for purpose are given
  • ZYNK Events excludes liability for:
    • Indirect damages
    • Incidental damages
    • Consequential damages
    • Loss of profits or reputation

ZYNK Events does not cap liability to order value, except where legally mandated.

9. Force Majeure

ZYNK Events shall not be liable for failure or delay caused by:

  • Pandemics
  • Natural disasters
  • Government restrictions
  • Strikes or labor disputes
  • Supply chain disruptions
  • Logistics failures

10. Age Restrictions

  • Purchasers must be 18 years or older
  • Minors may purchase only under parental or legal guardian responsibility
  • ZYNK Events assumes no liability for unauthorized minor purchases

11. Policy Modifications & Termination

ZYNK Events reserves the unrestricted right to:

  • Modify merchandise offerings
  • Update this Merchandise Policy without prior notice
  • Suspend or terminate sales or access at discretion

Continued use constitutes acceptance of changes.

12. Governing Law, Arbitration & Jurisdiction

  • Governed by Indian law
  • Mandatory arbitration prior to litigation
  • Seat of arbitration: Mumbai
  • Courts of Mumbai shall have exclusive jurisdiction
